1. ACCEPTANCE OF TERMS
   These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Doder Limited, a company incorporated under the laws of Cyprus, having registration number HE 462273, with its registered office at Aglantzias 21b, 2nd floor/office 1, Aglantzia, 2108 Nicosia, Cyprus (“Company”, “we”, “us”, or “our”).

By accessing our website, creating an account, or purchasing a subscription to Simple Academy (the “Service”), you explicitly acknowledge that you have read, understood, and agree to be bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY DISCONTINUE USE OF THE SERVICE.

2. ELIGIBILITY AND AGE RESTRICTIONS
   The Service is intended solely for users who are eighteen (18) years of age or older. By using the Service, you represent and warrant that you are at least 18 years old and have the full right, power, and legal authority to enter into this agreement.

If you are accessing the Service from the United States, you confirm that you are not barred from receiving services under US laws or other applicable jurisdiction.

You are responsible for maintaining the confidentiality of your login credentials. You agree not to share your account with any third party. The Company is not liable for any loss caused by unauthorized use of your account.

3. DESCRIPTION OF SERVICES
   Simple Academy is an online educational platform designed to provide informational content regarding blockchain technology, cryptocurrency fundamentals, and digital asset security. The Service includes access to pre-recorded video lessons, textual guides, quizzes, and community forums (collectively, “Content”). The Service is strictly educational. We aim to explain complex concepts (e.g., Staking, Gas Fees, MPC) in simple terms. The Service does not provide functionality to buy, sell, store, send, or receive cryptocurrency. We are not a wallet provider, exchange, or custodian.
4. FINANCIAL AND INVESTMENT DISCLAIMER (CRITICAL)
   PLEASE READ THIS SECTION CAREFULLY. IT LIMITS OUR LIABILITY REGARDING YOUR FINANCIAL DECISIONS.

• 4.1. The Content provided on Simple Academy is for informational and educational purposes only. It does not constitute financial, investment, legal, or tax advice. No content on the site should be construed as a recommendation to buy, sell, or hold any specific cryptocurrency or digital asset.
• 4.2. We are educators, not financial advisors. Your use of the Service does not create a fiduciary relationship between you and the Company. We do not tailor our content to your individual financial circumstances, risk tolerance, or goals.
• 4.3. You acknowledge that the cryptocurrency market is highly volatile and involves a significant risk of loss. You should only invest money you can afford to lose. Doder Limited is not responsible for any financial losses or damages resulting from your trading activities, investment decisions, or reliance on the information provided in our courses.
• 4.4. Our courses may mention or demonstrate third-party tools (e.g., MetaMask, Ledger, various blockchains). We do not control these platforms and assume no liability for their security, functionality, or your use of them.

5. SUBSCRIPTIONS, BILLING, AND PAYMENTS

• 5.1. We do not accept cryptocurrency. All payments are processed in US Dollars (USD) via third-party payment processors. You agree to provide current, complete, and accurate purchase and account information.
• 5.2. We offer subscription-based access to our Content for various terms (e.g., 1 week, 1 month, 3 months, 6 months, 12 months).
• 5.3. BY SIGNING UP FOR A SUBSCRIPTION, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW. Your payment method will be automatically charged at the then-current rate for your selected subscription plan at the beginning of each billing cycle (e.g., every month or every year) unless you cancel your subscription prior to the renewal date.
• 5.4. Doder Limited reserves the right to adjust pricing for our service or any components thereof in any manner and at any time. Any price changes will take effect following notice to you via email or a notification on the website.

6. CANCELLATION AND TERMINATION

• 6.1. Currently, cancellation is processed manually by our support team. To cancel your subscription and stop future automatic renewals, you must send an email request to [email protected] with the subject line "Cancellation Request". To ensure the cancellation is processed before the next charge, your email must be received at least 48 hours prior to your renewal date. We are not responsible for charges that occur because a cancellation request was sent late or to the wrong email address.
• 6.2. Cancellation is not retroactive. If you cancel, you will continue to have access to the Service through the end of your current billing period. You will not be charged for the next billing cycle.
• 6.3. We reserve the right to terminate or suspend your account and access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.

7. REFUND POLICY
   All purchases are subject to our separate Refund Policy, which is incorporated into these Terms by reference. Please review our Refund Policy carefully before making a purchase. In the event of a conflict between these Terms and the Refund Policy, the Refund Policy shall prevail.
8. INTELLECTUAL PROPERTY RIGHTS
   The Service and its original content, features, and functionality are and will remain the exclusive property of Doder Limited and its licensors.

• 8.1. The Service is protected by copyright, trademark, and other laws of both Cyprus, the United States, and foreign countries. The "Simple Academy" name and logo are trademarks of the Company.
• 8.2. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and view the Content solely for your personal, non-commercial purposes.
• 8.3. You strictly agree NOT to:
• • Copy, modify, create derivative works of, download, adapt, reverse engineer, emulate, migrate to another service, translate, compile, decompile or disassemble the Website or any Content;
  • Share your login credentials with third parties (account sharing is strictly prohibited);
  • Record, stream, or redistribute our video lessons on public platforms (e.g., YouTube, Torrent sites).
  • Use any "robot," "spider," or other automatic device to monitor or copy our web pages or the content contained therein.

9. USER CONDUCT
   You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• To transmit, or procure the sending of, any advertising or promotional material ("spam").
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
• To engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by us, may harm the Company or users of the Service.

10. LIMITATION OF LIABILITY
    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• 10.1. IN NO EVENT SHALL DODER LIMITED, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
• • (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
  • (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
  • (iii) ANY CONTENT OBTAINED FROM THE SERVICE;
  • (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
• 10.2. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE COMPANY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID THE COMPANY, IF ANY, IN THE PAST TWELVE (12) MONTHS FOR THE SERVICE GIVING RISE TO THE CLAIM.
• 10.3. YOU ACKNOWLEDGE AND AGREE THAT THE ESSENTIAL PURPOSE OF THIS SECTION IS TO ALLOCATE THE RISKS UNDER THESE TERMS BETWEEN THE PARTIES AND LIMIT POTENTIAL LIABILITY GIVEN THE SUBSCRIPTION FEES CHARGED.

11. INDEMNIFICATION
    You agree to defend, indemnify, and hold harmless Doder Limited and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

• a) Your use and access of the Service, by you or any person using your account and password;
• b) A breach of these Terms;
• c) Your violation of any third-party right, including without limitation any copyright, property, or privacy right.

12. THIRD-PARTY LINKS AND TOOLS
    Our Service may contain links to third-party web sites (e.g., wallet providers, blockchain explorers) or services that are not owned or controlled by Doder Limited.

• We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party web sites or services.
• You acknowledge and agree that Doder Limited shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of such content, goods, or services available on or through any such web sites or services.

13. GOVERNING LAW
    These Terms shall be governed and construed in accordance with the laws of Cyprus, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
14. DISPUTE RESOLUTION AND CLASS ACTION WAIVER (US USERS - READ CAREFULLY)

• 14.1. If you have any dispute with us, you agree to first contact us at [email protected] and attempt to resolve the dispute with us informally.
• 14.2. If a dispute is not resolved within 30 days, any dispute arising out of or relating to these Terms or the Service shall be settled by binding arbitration.
• 14.3. YOU AND DODER LIMITED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Doder Limited agree otherwise, the arbitrator may not consolidate more than one person's claims.
• 14.4. You and we waive any constitutional and statutory rights to go to court and have a trial in front of a judge or a jury.

15. CHANGES TO TERMS
    We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
